terms of use.

These terms govern the use of our services and your relationship with Copper+Oak. We want to be clear about what we offer and what we expect in return.

acceptance of terms.

By accessing and using the Copper+Oak website or engaging our services, you accept and agree to be bound by these terms and conditions. If you do not agree to abide by the above, please do not use this service or website. Continued use of the website constitutes your acceptance of these terms.

our services.

scope of work

Copper+Oak provides boutique hospitality design services including brand and concept development, space and interior design, operations and menu consulting, and launch and ongoing support. The specific scope of work is outlined in individual project proposals and contracts. Services are performed in Dallas–Fort Worth, Texas, though we collaborate with clients nationally and internationally.

consultation and discovery

All engagements begin with a consultation process to understand your vision, goals, and project requirements. This process is essential to ensuring we deliver work that aligns with your expectations and business objectives.

proposals and agreements

A detailed project proposal will be provided before any work begins. This proposal outlines deliverables, timelines, fees, and project terms. Acceptance of the proposal constitutes a binding agreement between client and Copper+Oak. All projects are subject to our standard Service Agreement unless otherwise negotiated in writing.

intellectual property.

ownership of work

Upon final payment, the client receives ownership of the final deliverables created specifically for their project, including design files, brand guidelines, operational documentation, and menu concepts. This excludes any pre-existing Copper+Oak materials, templates, methodologies, or processes.

portfolio rights

Copper+Oak retains the right to display completed work in our portfolio, on our website, in presentations, and in industry submissions unless specifically negotiated otherwise. We request that clients allow us to photograph and document their completed projects for portfolio purposes. Client confidentiality is respected when requested.

third-party materials

Third-party materials, fonts, stock photography, or licensed components included in deliverables are subject to their respective licenses and terms. The client is responsible for obtaining any necessary licenses or permissions for continued use of these materials beyond the project.

client responsibilities.

timely feedback and approvals

Client responsibilities include providing timely feedback, approvals, and necessary information for the project to progress. Delays in client response may impact project timelines and fees. All project timelines assume regular communication and prompt decision-making.

content and materials

The client is responsible for providing or obtaining all necessary content, images, copy, and materials needed for the project. The client warrants that all provided content does not infringe on any third-party intellectual property rights.

project decisions

The client is responsible for making timely project decisions regarding design direction, scope, budget, and launch timeline. Clients authorize representatives to make these decisions on behalf of their organization.

payment and fees.

project fees

Project fees are outlined in the proposal and Service Agreement. Fees include the work described within the agreed scope. Changes to scope, additional revisions beyond those outlined, or expanded deliverables may result in additional fees.

payment terms

A deposit is required to initiate project work. Additional payments are due according to the project timeline outlined in the proposal. Final payment is due upon delivery of final deliverables. All invoices are due within 30 days unless otherwise negotiated.

late payment

Accounts more than 30 days overdue may incur a late fee of 1.5% per month. Projects may be paused if payment becomes significantly overdue. Late payment does not affect intellectual property transfer upon final payment.

limitation of liability.

To the maximum extent permitted by law, Copper+Oak is not liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website, including but not limited to loss of profits, data, or business interruption, even if Copper+Oak has been advised of the possibility of such damages.

The total liability of Copper+Oak for any claim arising from these terms or the provision of services shall not exceed the total fees paid by the client for the project in question.

indemnification.

The client agrees to indemnify, defend, and hold harmless Copper+Oak from any claims, damages, losses, or expenses arising from the client's content, use of deliverables, or violation of these terms. This includes any claims that the client's content infringes on third-party intellectual property rights.

confidentiality.

Both parties agree to maintain confidentiality regarding proprietary information shared during the project, unless disclosure is required by law or expressly authorized. This does not restrict Copper+Oak from displaying completed work in portfolio or industry contexts, unless confidentiality is requested in writing.

governing law.

These terms and conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding relating to these terms shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and both parties consent to the jurisdiction and venue of these courts.

changes to terms.

Copper+Oak reserves the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting to the website. Your continued use of our website or services following the posting of revised terms means that you accept and agree to the changes. We encourage you to review these terms periodically to stay informed of any updates.
